General

The Shock Mitigation Directory (also known as RIB & HSC Directory) is owned and operated by Shock Mitigation Ltd (referred to below as the “Company” “we” or “us”). The person advertising in the Shock Mitigation Directory is referred to below as the “advertiser” or “you”. By using or advertising in the Shock Mitigation Directory you accept these terms and conditions. These terms and conditions are governed by and are interpreted in accordance with English law. The courts of England will have the non-exclusive jurisdiction to deal with any disputes arising out of or in connection with these terms and conditions.

Aims & Objectives

The aim of the Shock Mitigation Directory is to present professional boats, equipment and services for the professional RIB and High Speed Craft sector. The website objective is to Keep It Simple and User Friendly.

Copyright & Permitted Uses

The Company owns legally and beneficially all the intellectual property rights in the content of all the Shock Mitigation Directory web pages and in the software used therein. No materials from the Shock Mitigation Directory may be copied, downloaded or reproduced in any form for commercial use. You assign to the Company the copyright in all material supplied by you to the Company. This will not operate in respect of your trademarks and logos.

Warranty

You warrant and represent that the material, text and images that we display in the Shock Mitigation Directory in the entry for your product or service is accurate and not misleading, does not infringe the rights and intellectual property rights of third parties and complies with all relevant laws and regulations. Editorial Decision

We reserve the right to refuse admission to the Shock Mitigation Directory for any reason. We reserve the right to refuse text or images that we feel are unsuitable. The Company reserves the right, at any time, to remove and/or edit text, images or entries that are subject to a dispute by a third party, that fail to comply with relevant laws and regulations from time to time in force or which may expose the Company to losses or liability. We are able to edit content but it is the advertiser’s responsibility to check their entries. An entry may be edited twice in each annual period by written request.

Entries & Layout

We create an entry from supplied content. The layout of entries ensures that every boat, equipment or service is presented in a consistent format. The entry is written in the style of a press release and to emphasise certain keywords for search engines. To ensure that the Shock Mitigation Directory website does not include leisure products each product will reference professional users. If a third party disputes a professional reference it will be removed.

Images & Photographs

You are responsible for supplying electronically to the Company, high resolution photographs which are suitable for publication on a website. All photographs will be digital images displayed in a landscape format. The main image will usually be of the boat, equipment or service. Images 2, 3, 4 should present a variety of views or detail of the boat, equipment or service or show it in use.

Categories & Order

As the Shock Mitigation Directory evolves we will create new categories and sub-categories. Our decision is final regarding the appropriate category or sub-category for each entry and the order of each entry. Where possible entries will appear in categories or sub-categories in size order. If size order does not apply entries will appear in A to Z order.

External Links

The Shock Mitigation Directory contains links to external sites. The Company is not responsible for and has no control over the content of such sites. The Company disclaims all responsibility and liability, including for negligence, in relation to information in the Shock Mitigation Directory or accessible by hypertext links.

Invoicing & Settlement

An invoice will be raised in accordance with your purchase order (plus VAT if applicable). Once you have reviewed your entry your payment confirms that the entry is correct and the entry will go live on the website. Your advertisement duration will commence from the 1st of the next calendar month.

Annual & Repeat Entries

Each entry is purchased and payable in advance on an annual basis. There are no refunds for part periods. Payment (plus VAT if applicable) for repeat entries will be due on the 15th of the calendar month prior to the date of renewal. If an entry is not paid for by the date of renewal it will be removed from the website.

Overdue Accounts & Interest

Should your account fall overdue then interest will be charged at the daily rate of 3% per annum above HSBC Bank Plc base rate from time to time in force. Interest will be calculated daily from the due date to the actual payment date.

Disclaimer

The Company does not give any warranty or other assurance as to the operation, quality or functionality of the site. Access to the site may be interrupted, restricted or delayed for any reason. The Company does not give any warranty or other assurance as to the content of the material appearing in the Shock Mitigation Directory, its accuracy, completeness or fitness for any particular purpose. The Company gives no warranty or representation relating to the products or services contained in the Directory.

Liability

The Company will not take responsibility for any error, omission, inaccuracy or copyright infringement in the entry. The Company shall not be liable for any indirect or consequential loss suffered by the advertiser. The Company’s liability to the advertiser (including, without limitation, for errors, omissions or disputes relating to entries in the Shock Mitigation Directory) will not exceed the amount paid for the entry. Nothing in these terms and conditions shall exclude the Company’s liability for death or personal injury arising from its negligence.

Indemnity

You will indemnify the Company against all losses, claims, liabilities, damages, costs (including legal and professional fees) arising from publication by the Company of your entry in the Shock Mitigation Directory.
